2006 Special Member's Meeting Minutes

The Special Meeting of the West Park Community Association for the consideration of raising annual dues was called to order at 7:30 p.m. on 5 December, 2006 by President Jeff Peters.

Members attending numbered 19 and there were an additional 21 proxies.

Jeff updated about talks with Tony Vellucci regarding the status on GMU sign and the drug prevention measures around Robinson. Lenny Cleveland, the security officer at Robinson, is requesting only that the WPCA widen the opening from the access road down to the playground in our common area by about ten feet in either direction so that his officers can see better to monitor drug use by students in the playground area.

Jeff presented a case for increasing dues. Recent years increase in expenses for common area related expenses, particularly tree management was mentioned as the primary concern.

Jeff read the minutes from the October 17 meeting.

A member proposed a motion to increase dues by $20 to make $50/year. A member seconded and the motion was passed with a total of 36 Yes votes (including proxies).

According to the WPCA Declaration, Article IV, Section 3 (b): "From and after January 1 of the year immediately following the conveyance of the first Lot to an Owner, the maximum annual assessment may be increased above ten percent (10%) by a vote of two-thirds (2/3) of each class of members who are voting in person or by proxy, at a meeting duly called for this purpose." Article IV, Section 5 states: "Notice and Quorum for Any Action Authorized Under Sections 3 and 4. Written notice of any meeting called for the purpose of taking any action authorized under Section 3 or 4 shall be sent to all members not less than thirty (30) days nor more than sixty (60) days in advance of the meeting. At the first such meeting called, the presence of members or of proxies entitled to cast sixty percent (60%) of all the votes of each class of membership shall constitute a quorum. If the required quorum is not present, another meeting may be called subject to the same notice requirement, and the required quorum at the subsequent meeting shall be one-half (1/2) of the required quorum at the preceding meeting. No such subsequent meeting shall be held more than sixty (60) days following the preceding meeting." Possible dues increase was on the published agenda for the annual meeting on 17 October, but the quorum at that meeting (21) was not the 60% of membership (47) necessary to raise dues. Written notice to members was provided to give at least 30 days' notice of the 5 December meeting, and we did achieve half the previous meeting's quorum (24) between members present and proxies. The Yes votes represented more than two-thirds of the quorum present.
