Board of Director's Meeting Minutes

The WPCA Board of Directors held a special meeting on September 13, 2017 at President Jim Emery's home, beginning at 7:02 p.m.

Attendees: Jim Emery, Michael Yang, Jeff Peters, Lauren Crum, Cindy Sanotta, and one additional homeowner.

Reading of the Minutes of the Last Meeting

President Jim Emery read the minutes of the 22 September 2016 WPCA Board of Directors meeting. The minutes were approved as read.

Appointment of Secretary

President Jim Emery discussed the vacant secretary position and the Board's ability to fill the vacancy by appointment. Cindy Sanzotta was introduced as a candidate for secretary, and the Board unanimously accepted her to fill the position effective immediately through Board Decision No. 2017-001.

Treasurer's Report

Treasurer Lauren Crum provided a statement of the Association's finances and the proposed budget for 2018 reflecting funding for common area maintenance as covered by the Reserve Study. All dues were collected in 2017. The tree work is only moderate this year but there is still work that could be completed. Lauren Crum noted a 55% increase in the cost of tree work in the last three years. In addition, the cost for our Community Association Registration was discounted again this year, but should return to normal in 2018. The Board confirmed that the budget prepared for the annual meeting should reflect an increase in assessments to $70.00 annually.

New Business

Annual Meeting. Our annual meeting will take place at the Oak View Elementary School Cafeteria on Thursday, October 26, 2017 at 7:00 p.m. Notices will be hand-delivered or mailed to all members of the Association, as required by law.

The agenda for the meeting will be: the Treasurer's report and the election of officers. The current directors offered to stand for election again. However, there was agreement that if there is interest from any of our members in serving on the board, the current directors are willing to step down at the annual meeting in October 2017.

Review of Protective Covenants and Restrictions. President Jim Emery reviewed the Declaration of Covenants, Conditions and Restrictions (Deed Exhibit B) in light of recent changes to the Code of Virginia particularly with regard to home occupations. While an update to our Covenants is warranted, the Board agreed not to pursue any changes at this time, preferring rather to not enforce Covenant provisions that are inconsistent with the Code of Virginia.

Block Party. Vice president Michael Yang confirmed a plan to hold a block party for our neighborhood, to take place in the Headly Court cul-de-sac on either Saturday or Sunday of the weekend of October 7-8, from 4-7 p.m. Homeowners will be notified of the final details via email. The block party is not an official association event, but the association email list will used to announce the event.
